Welcome to TickStock.ai ("we," "us," "our," or the "Company"). These Terms and Conditions of Service (the "Terms") govern your access to and use of the TickStock.ai platform, website, mobile applications, and related services (collectively, the "Service"). The Service includes all current and future features, tools, and updates provided by TickStock.ai. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Notice, which is incorporated herein by reference.

1. ACCEPTANCE OF TERMS AND ELIGIBILITY

1.1 Agreement to Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1.2 Eligibility

You must be at least the age of majority in your jurisdiction (minimum 18) to use the Service and must comply with all applicable local laws. By using the Service, you represent and warrant that:

• You are not prohibited by law from using the Service;
• You are not located in a jurisdiction where use of the Service is prohibited by law;
• You will comply with these Terms and all applicable laws and regulations;

1.3 Service Description

TickStock.ai provides real-time and delayed market data analytics, visualization tools, and related information services. The Service is designed for educational and informational purposes only and does not constitute investment advice, financial advice, trading advice, or any other type of advice.

2. ACCOUNT REGISTRATION AND SECURITY

2.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Maintain the security and confidentiality of your login credentials;
• Immediately notify us of any unauthorized use of your account;
• Accept responsibility for all activities that occur under your account.

2.2 Multi-Factor Authentication (MFA)

For your security, we require multi-factor authentication for all accounts. By creating an account, you agree to:

• Provide a valid mobile phone number capable of receiving SMS messages;
• Enroll in our MFA system during account registration;
• Use MFA for account access and sensitive operations, such as logins from new devices, password changes, account updates, subscription modifications, and payment method changes;
• Keep your phone number current and immediately update it if changed;
• Protect your authentication devices and backup codes.

2.3 SMS/Text Messaging Services

By providing your mobile phone number, you expressly consent to receive SMS/text messages from TickStock.ai for:

• Security Purposes: One-time passwords (OTP), verification codes, and security alerts;
• Account Notifications: Important account updates, subscription changes, and service notifications;
• Optional Services: Market alerts and updates (only if explicitly subscribed).

Message Frequency: Message frequency varies based on account activity and your selected preferences. Security messages cannot be disabled while using the Service.

Message Charges: Standard message and data rates may apply per your carrier's plan. You are responsible for verifying applicable charges with your mobile carrier. TickStock.ai is not responsible for any charges incurred from your mobile carrier.

Opt-Out: You may opt out of non-security marketing messages by texting STOP to any promotional message. Security and account-related messages cannot be opted out of while maintaining an active account.

2.4 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for restricting access to your devices. You agree to immediately notify us at [email protected] if you become aware of any unauthorized use of your account or any other breach of security.

3. FINANCIAL INFORMATION DISCLAIMER

3.1 No Professional Advice

The Service and its content do not constitute and should not be construed as:

• Investment, financial, tax, legal, or accounting advice;
• A recommendation to buy, sell, or hold any security, derivative, or investment;
• An offer or solicitation to buy or sell any securities;
• A fiduciary relationship with any user.

• TickStock.ai is not liable for any investment losses, damages, or adverse outcomes resulting from your use of the Service.

3.3 Market Data Accuracy and Third-Party Content

While we strive to provide accurate and timely information:

• Market data may be delayed by 15-20 minutes or more, depending on third-party providers;
• We do not guarantee the accuracy, completeness, timeliness, or reliability of any data;
• Data is sourced from third-party providers, and TickStock.ai is not responsible for errors, omissions, or inaccuracies in such data;
• Technical issues may affect data transmission, availability, or display;
• You should verify critical information through independent, authoritative sources before making decisions;
• TickStock.ai is not liable for any losses or damages arising from reliance on third-party data or technical issues.

4. PERMITTED USE AND RESTRICTIONS

4.1 Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. Users with a paid business subscription may use the Service for internal business purposes, subject to these Terms.

4.2 Prohibited Activities

You agree not to:

• Redistribute, retransmit, or resell any data obtained from the Service;
• Use the Service for any commercial purpose without our written consent;
• Scrape, harvest, or use automated systems to collect data from the Service;
• Reverse engineer, decompile, or disassemble any aspect of the Service;
• Create derivative works based on the Service or its content;
• Record, screenshot, or broadcast any content from the Service;
• Circumvent any security features or access restrictions;
• Use the Service to engage in market manipulation or fraudulent activities;
• Share your account credentials or allow others to access your account;
• Use the Service in any way that violates applicable laws or regulations;
• Interfere with or disrupt the Service or servers;
• Transmit viruses, malware, or other harmful code;
• Impersonate any person or entity;
• Use the Service to harass, abuse, or harm others.

4.3 Media Recording Prohibition

Users are explicitly prohibited from recording, capturing, or reproducing any part of the Service through any means, including but not limited to video recording, audio recording, screenshots, screen captures, or streaming. Any such activity constitutes copyright infringement and will result in immediate account termination and potential legal action.

5. SUBSCRIPTION AND BILLING

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current plans and pricing are available on our website. We reserve the right to modify plans and pricing at any time with notice to existing subscribers.

5.2 Payment Terms

By subscribing to the Service, you agree to:

• Pay all fees according to your selected plan;
• Provide valid payment information;
• Authorize us to charge your payment method on a recurring basis;
• Pay any applicable taxes;
• Be responsible for any bank fees or charges.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You must cancel at least 24 hours before the renewal date to avoid charges for the next billing period.

5.4 Refund Policy

8. DISCLAIMERS AND LIMITATION OF LIABILITY

8.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TICKSTOCK.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use or inability to use the Service;
• Any investment, trading, or financial decisions based on the Service;
• Errors, inaccuracies, or delays in data provided by the Service or third-party providers;
• Unauthorized access to or use of your account;
• Service interruptions, modifications, or termination;
• Any other matter relating to the Service.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. WHERE APPLICABLE LAW DOES NOT ALLOW THE EXCLUSION OF CERTAIN LIABILITIES (E.G., FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT), OUR LIABILITY SHALL BE LIMITED TO THE MINIMUM EXTENT REQUIRED BY LAW.

8.3 Indemnification

You agree to indemnify, defend, and hold harmless TickStock.ai and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from third-party claims related to your use of the Service, violation of these Terms, or infringement of any third-party rights.

9. DISPUTE RESOLUTION

9.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Dallas County, Texas.

9.2 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and TickStock.ai agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration, except that either party may seek injunctive or other equitable relief in court. The arbitration shall be conducted in Dallas, Texas, in accordance with the rules of the American Arbitration Association. Each party will bear its own costs for arbitration, except as otherwise required by applicable law or the rules of the American Arbitration Association.

9.3 Class Action Waiver

YOU AND TICKSTOCK.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

10. TERMINATION

10.1 Termination by You

You may terminate your account at any time by contacting us at [email protected]. Termination does not entitle you to any refunds unless required by law.

10.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including but not limited to:

• Violation of these Terms;
• Non-payment of fees;
• Fraudulent or illegal activity;
• Extended period of inactivity;
• Request by law enforcement;
• Discontinuation of the Service.

10.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may delete your account and data in accordance with our Privacy Notice. Provisions that should survive termination will remain in effect.

11. MODIFICATIONS TO TERMS AND SERVICE

11.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email, website posting, or in-app notifications. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

We may modify, suspend, or discontinue any aspect of the Service at any time without notice or liability to you.

12. GENERAL PROVISIONS

12.1 Entire Agreement

These Terms, together with our Privacy Notice and any other agreements expressly incorporated by reference, constitute the entire agreement between you and TickStock.ai regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.

12.5 Electronic Communications

By using the Service, you consent to receive electronic communications from us and agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

12.6 Export Controls

You may not use or export the Service in violation of U.S. export laws and regulations or any other applicable laws.
